Oliver has acted in commercial transactions
in the United Kingdom, the Cayman Islands, Hong Kong and
many other Asian jurisdictions, including; mergers and acquisitions,
joint ventures and shareholder agreements, investment and
subscription arrangements and corporate transactions of
all types. Oliver has acted in connection with the establishment
of numerous investment funds, including open and closed
ended corporate funds, unit trusts and limited partnerships.
Oliver has acted for both underwriters and corporate issuers
in connection with a number of initial public offerings,
and for both borrowers and lenders in connection with various
banking transactions, and related security arrangements.
Oliver has acted in connection with distributorship and
agency agreements, manufacturing agreements, licensing (including
software licensing) and sponsorship agreements, consultancy
and employment agreements, and commercial contracts of all
types. Oliver has advised on regulatory issues under the
Hong Kong Securities and Futures Ordinance and on various
other regulatory issues in Hong Kong and other jurisdictions.
Oliver has considerable experience of advising in connection
with shareholder disputes and the pre-litigious stages of
other corporate/commercial disputes.
Throughout his career, Oliver has represented
a broad range of clients, including banks and other financial
institutions, fund managers, major property developers and
other listed companies in Hong Kong, major international
television and record companies, manufacturers, retailers
and numerous other privately held companies and entrepreneurs.
