    Kelvin advises on a broad range of corporate and commercial matters, with particular expertise in mergers and acquisitions, private equity and fund investments, and capital markets transactions.

    Kelvin has acted for private companies, investment funds and corporate groups across a diverse range of sectors, including healthcare, pharmaceuticals, technology, telecommunications, manufacturing, food and beverage, e-commerce and financial services. His transactional experience encompasses high-value and complex domestic and cross-border M&A, private equity investments, corporate restructurings and pre-IPO investments. He has represented private equity and investment funds on fund investments and acquisition transactions. His work spans multiple jurisdictions across the Asia Pacific region, including Hong Kong, mainland China, Korea, Singapore, Malaysia and Australia.

    Kelvin also has extensive experience in capital markets, having acted as both company lawyer and sponsor lawyer in multiple Hong Kong IPO listings, alongside handling fund raisings, debt issuances and regulatory matters involving the Hong Kong Stock Exchange and the Securities and Futures Commission.

    From 2013 to 2017, Kelvin concurrently served as Company Secretary of Xingfa Aluminium Holdings Limited (HKEX Main Board, stock code: 0098), overseeing board governance and statutory compliance.

    Kelvin was admitted as a solicitor in Hong Kong in 2013. He obtained the People’s Republic of China (Greater Bay Area) Lawyer qualification in 2026 (registration pending).

    Kelvin holds a Juris Doctor and a Postgraduate Certificate in Laws from City University of Hong Kong, and a Bachelor of Science in Chemistry from the University of British Columbia.

    Mergers and Acquisitions

    • Acting for a Hong Kong Main Board listed company on the acquisition of the remaining equity interest in a PRC company engaged in research and development, manufacturing and sale of optical fibre and communication equipment at a consideration of approximately RMB378 million
    • Acting for a Hong Kong Main Board listed company on the disposal of its interest in a joint venture in the PRC engaged in manufacturing and distribution of pharmaceutical and therapeutics products to a New York Stock Exchange listed group at a consideration of approximately US$35 million
    • Acting for a Hong Kong Main Board listed company on the disposal of its majority interest in a company engaged in e-commerce and distribution business of healthcare and wellbeing related products to a private investment fund at a consideration of HK$130 million
    • Acting for a Hong Kong Main Board listed company on the acquisition of existing depositary interests, subscription of new depositary interests, and subscription of convertible notes issued by a company listed on the Australian Stock Exchange engaged in E-learning technology solutions at a total consideration of approximately AUD21 million
    • Acting for a Hong Kong Main Board listed company on the (a) disposal of a joint venture with another Hong Kong Main Board listed company to a Korean listed company engaged in bio-scan technology for a total consideration of approximately HK$241 million; and (b) subscription of new shares and convertible bonds issued by the Korean listed company at an aggregate subscription price of approximately HK$84 million

    • Acting for a private investment fund on a Series A investment in a group of companies engaged in the food and beverage business and operating a restaurant chain in Vietnam
    • Acting for a private investment fund on the acquisition of a minority stake in a franchisee operator holding the franchise rights to operate % Arabica coffee shops across six markets in the Asia Pacific region
    • Acting for a private investment fund on the acquisition of a majority stake in a fast food chain in Hong Kong
    • Advising on the formation and structuring of limited partnership funds including advising on choice of fund vehicle, drafting and negotiating the limited partnership agreement and investment management agreement, and handling related registration and filings
    • Acting for a number of clients on applications for licences to carry out regulated activities under the Securities and Futures Ordinance including advising on licensing requirements and eligibility, preparing related documents and liaising with the SFC

    Capital and Financing

    • Acting for a Hong Kong Main Board listed company on an issue of senior secured guaranteed notes in the aggregate principal amount of US$500 million and unlisted warrants in aggregate amount of US$75 million
    • Acting for the borrower on a secured loan in the principal amount of US$100 million for the purpose of acquiring an airline in the Asia Pacific region
    • Acting for a lender on the restructuring of loan in the principal amount of HK$190 million to a Hong Kong Main Board listed company by way of converting the principal amount to a convertible note

    • Acting as company lawyer in the initial public offering of Tycoon Group Holdings Limited (Hong Kong Main Board listing) – Tycoon was an omnichannel marketing and management service integrator of healthcare and wellbeing related products in Hong Kong
    • Acting as sponsor lawyer in the initial public offering of JBB Builders International Limited (Hong Kong Main Board listing) – JBB was engaged in marine construction services and building and infrastructure services in Malaysia and Singapore
    • Acting for a company listed on the Singapore Exchange on the settlement of a dispute with its shareholder and partially satisfied by convertible notes in the principal amount of HK$144 million issued by a Hong Kong GEM listed company
